What is a Resident Agent

In Maryland, a Resident Agent (RA) is the same as the Registered Agent used in other states. Each Maryland LLC and Corporation is required by Code of Maryland Annotated Regulation (COMAR Title 2 § 2-108) to appoint and maintain a Resident Agent. The Resident Agent is an appointed representative to receive official business mail on the companies behalf such as, tax notices, lawsuit filings, wage and workers compensation claims. When do I need a Resident Agent?
Purchase our services before you apply for your business with the State! A business is required to assign and maintain a Resident Agent to file the articles of incorporation with the State and begin operating. All official business type entities require a Resident Agent (e.g. LLC, or Inc., profit; or non-profit).

Can I be an out of state business and use TWE as a Resident Agent?
If you are a business that operates outside of the State of Maryland but has formed a business in Maryland with the State Department of Assessment and Taxation (SDAT), TWE can be assigned as your Resident Agent. TWE does not offer

Resident/Registered Agency outside of Maryland.


Can I use the Resident Agent to receive all mail for my business?
At this time, we do not offer general mail service(s) for your business. We advise keeping an alternative or prime address for general customer relations, day to day operations, and parcel delivery.


How do I change from my current Resident Agent to this service?
Once you have completed registration and payment, we will send you the forms to complete for change in Resident Agent. There is an additional $25 fee charged by SDAT to make a Resident Agent change. Due to confidentiality of the SDAT website and portal, resident agencies can no longer make the change on your business' behalf, but Contact Us and we can inform you on how to easily make the change.


I operate subsidiary businesses under one holding/prime company. Do I need to have a Resident Agent for each subsidiary under my holding/prime company?
If the subsidiary has its own State ID Number, it will need to have a Resident Agent assigned to the business.
